Current Practice: My practice area is primarily focused on business law, with an emphasis on both equity and debt transactions. On the equity side, I represent entrepreneurs and their companies from the initial start-up phase through all operational phases, including succession planning for closely held businesses and exit strategies for angel and venture capital backed businesses. The legal matters range from structuring fundraising to comply with applicable securities exemptions to advising on employment law matters. My clients are in industries as diverse as health care to golf cars. With respect to the financing transactions, I represent clients, including banks and financial institutions with tax exempt bond issuances and secured financing transactions. I also have served as local counsel to companies involved with multi-state financings, including providing assistance with proper perfection of security interests and liens. Background: I began practicing law in Colorado at the Boulder branch of Cooley Godward, LLP (now Cooley, Kronish & Goodward, LLP). At that firm, I had the opportunity to work with venture capitalists and venture capital backed businesses and complex corporate and debt financing transactions. The experience I gained at Cooley Godward has been invaluable to me and I continue to seek to represent clients with complex legal needs.
